An odd-lot tender offer is any tender offer whose terms give holders of fewer than 100 shares (an "odd lot") priority: if they tender all of their shares, they are bought in full before the offer is prorated among everyone else. This page explains how the provision works, where it appears, what can go wrong, and lists the tender offers open now from the Special Situations Digest, with odd-lot terms flagged where the filing disclosed them.

How the odd-lot priority works

Most tender offers are for a fixed number of shares. If more shares are tendered than the buyer wants, the offer is prorated: every holder gets the same fraction bought. Many United States offer documents carve out an exception ahead of proration, usually under a heading such as "Odd Lots" or "Priority of Purchases": a holder who owns fewer than 100 shares in total and tenders all of them is accepted in full first. Only after odd lots are satisfied is the remainder prorated across everyone else, and after that any conditional tenders are handled.

The provision exists because servicing very small holders costs the company more than the shares are worth: statements, proxy mailings and transfer-agent fees do not scale down. Buying them out cleanly is cheaper, so the company gives them priority. Three conditions almost always apply: the holder must own fewer than 100 shares in aggregate (not per account), must tender every share, and must indicate the odd-lot election on the letter of transmittal or through the broker's instruction. In a modified Dutch auction the odd-lot holder still has to tender at or below the final purchase price.

The odd-lot trade, and why it is not free money

Because odd-lot holders escape proration, a common special-situations trade is to buy 99 shares in the market below the tender price and tender them. The spread is small in dollars but can be large in percentage terms, and it is uncorrelated with the market. It is not riskless. The offer can be amended, extended or withdrawn if a condition fails; in a Dutch auction the final price can settle at the low end of the range; the stock can fall before the offer closes; brokers sometimes fail to transmit the odd-lot election, in which case the position is simply prorated; and commissions, settlement timing and, in some markets, transfer taxes eat into the spread. Where odd-lot provisions show up

Overwhelmingly in US issuer self-tenders (fixed-price and modified Dutch auction buybacks filed on Schedule TO-I) and in some third-party partial tenders and closed-end fund tenders. Some exchange offers carry them too: Lennar's exchange offer for Millrose Properties shares included an odd-lot priority. Canadian substantial issuer bids sometimes provide for qualifying odd-lot tenders. Japanese TOBs, UK schemes of arrangement and most European offers generally have no odd-lot concept: they prorate everyone or buy everything, so do not assume the provision exists outside North America.

How to read the terms in the offer document

In a US self-tender, open the Offer to Purchase attached to the Schedule TO on EDGAR and look for four things: the definition of an odd lot (nearly always "fewer than 100 shares", but check); the priority of purchases section, which states whether odd lots come first; the expiration date and any guaranteed-delivery window; and the conditions under which the buyer can walk. The letter of transmittal has an odd-lot checkbox; if you hold through a broker, the broker's tender instruction form has the same box. If the offer is prorated, the final proration factor is announced a few business days after expiration.

Yellowstone International Limited increased its cash tender offer for Greentech Technology International Limited (195.HK) to HK$0.55 per share to acquire up to 230,000,000 shares, or approximately 16.84% of the company. The offer, initially set at HK$0.40 per share, closes at 4:00 p.m. on 26 August 2026. A competing partial cash offer from Geo Environ (HK) Investment Limited is also open for up to 220,000,000 shares at HK$0.45 per share. The company despatched a Response Document to qualifying shareholders on 12 August 2026, which includes the Independent Board Committee's recommendation and the Independent Financial Adviser's advice. Trading in the shares has been suspended since 2 September 2024. Frequently asked questions

What is an odd lot?

A holding of fewer than 100 shares. A "round lot" is 100 shares or a multiple of 100. Offer documents define the term themselves; nearly all use the fewer-than-100 threshold, aggregated across all of a holder's accounts.

Do odd-lot holders always get priority in a tender offer?

No. Priority exists only if the offer document says so. It is common in US issuer self-tenders and some partial third-party tenders, uncommon elsewhere. If the offer is for all outstanding shares there is nothing to prorate and the provision is moot.

Where can I find current odd-lot tender offers?
