Vicksburg Investments Management LLC and the Melissa Neugebauer 2020 Trust are pushing Fermi Inc (FRMI) to evaluate strategic alternatives, including mergers or acquisitions. The shareholder group, which holds 22% of shares, filed a formal proposal under SEC Rule 14a-8 requesting the board engage an independent investment bank for the review. This follows a letter sent to the board on September 9 and a presentation on September 10. Fermi reports zero trailing twelve months sales and negative TTM EPS of -1.21, while insiders sold $75.2 million in shares over the past 12 months. A 22% holder is formally pushing for an independent strategic review ahead of the October 30 Annual Meeting, creating a near-term catalyst around the shareholder vote and any board response. In a separate letter, Neugebauer requested that shareholders vote on restoring pre-IPO voting standards and raising the REIT ownership limit from 2.5% to 9.8%. Shares have declined 20% since August 13. Neugebauer cited concerns that the 222 MW TensorWave lease represents less than 5% of the company's 4.8 GW near-term power opportunity.

Realty Fine said spending funds on treasury stock contradicts Refine's mid- to long-term strategy, including restoring competitiveness and expanding B2C businesses. Refine recently signed an MOU to review M&A of a B2C Proptech company worth 70-80 billion won.
